What am I agreeing to?§1
Creating an account means you accept these Terms, electronically, and that's legally binding in Ghana.
These Terms of Service ("Terms") are a contract between you, and, if you're signing up on behalf of a business, that business, and Phyled Solutions ("we", "us"), governing your use of PhyledPOS. By creating an account you accept these Terms. We form and record that acceptance electronically, which Ghana's Electronic Transactions Act, 2008 (Act 772) gives the same legal standing as a signature on paper.
What does PhyledPOS do?§2
Sales, stock, invoicing, and reporting, exactly which features depends on your plan.
PhyledPOS is point-of-sale software: sales and checkout, inventory and batch tracking, invoicing, corporate credit accounts, reporting, and, on eligible plans, an offline desktop app that syncs back to your web account. Which specific features, branch count, and staff-login allowance you get depends on your subscription plan, shown at checkout and on our pricing page.
What are my account responsibilities?§3
You must be 18 or older. Keep your login safe, keep your details accurate, and one business gets one trial.
- You must be at least 18 years old to create a PhyledPOS account. By registering, you confirm you meet this requirement, we rely on that confirmation and don't independently verify age.
- You must provide accurate information when signing up and keep your login credentials confidential.
- You're responsible for all activity under your business's account, including actions taken by staff accounts you create.
- One business per signup, opening multiple trial accounts for the same business to repeatedly extend free access isn't permitted, and we use automated signals (not a hard block on any single signal) to flag suspicious signup patterns for review.
How does the free trial work?§4
7 days, full access, no card. After that: choose a plan, or the account goes read-only and is eventually removed.
New accounts get a 7-day free trial with full feature access and no card required. At the end of the trial, the account moves to a read-only state until a plan is chosen; if no plan is chosen, the account and its data are automatically deleted on the schedule described in our Privacy Policy (a warning 30 days after the trial ends, deletion 30 days after that).
How does billing work?§5
Paid upfront via Paystack, auto-renews until you cancel; see the dedicated Refund Policy for cancellation detail.
- Subscriptions are billed in advance, monthly or annually, through Paystack, in Ghanaian cedi unless stated otherwise.
- Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- You can cancel anytime from Settings → Billing; cancelling stops future renewals, and you keep access to your paid plan until the end of the period you've already paid for. See our Billing & Refund Policy for how refunds work.
- We may change prices for future billing periods; we'll give you reasonable notice before a price change affects your subscription.
What can't I do with it?§6
Nothing illegal, nothing that attacks the platform, nothing you don't have the right to process.
You agree not to:
- Use PhyledPOS for any unlawful purpose, or in a way that infringes anyone else's rights;
- Attempt to breach, probe, or circumvent the platform's security, rate limits, or access controls;
- Resell or sublicense access to the platform without our written agreement;
- Upload or process data you don't have the right to process (including customer data your business isn't lawfully entitled to hold);
- Use the AI assistant feature to submit, or expect it to handle, sensitive data such as full card numbers, national ID numbers, or health records.
Who owns my data?§7
You do. Export it or delete it whenever you want.
You own the business data you put into PhyledPOS. We process it on your instructions, as your data processor, see our Privacy Policy for the detail of that relationship. You can export a complete, portable backup of your data at any time from within the app, and you can request deletion of your account and its data.
Who owns the software?§8
We do. These Terms give you the right to use it, not to own it.
PhyledPOS, its software, design, and the PhyledPOS/Phyled Solutions names and marks, belongs to Phyled Solutions. These Terms give you a right to use the service; they don't transfer ownership of any of that to you.
What about Paystack/Google?§9
Payments run on Paystack's terms; the optional AI/Drive features run on Google's, under your own account.
Payment processing runs through Paystack, subject to Paystack's own terms. The AI assistant and Google Drive backup features are optional, run on your own connected Google credentials, and are subject to Google's own terms for those services, we're not responsible for their availability or behavior.
Is uptime guaranteed?§10
We aim high, including a built-in offline mode for exactly this reason, but we don't promise zero interruptions.
We aim to keep PhyledPOS available and reliable, including the offline desktop app for exactly this reason, but we don't guarantee uninterrupted availability. We may need to suspend access briefly for maintenance, and we'll try to give notice when that's planned.
Can my account be closed?§11
You can leave whenever you like; we can suspend an account that breaks these Terms.
You can stop using PhyledPOS and cancel your subscription at any time. We may suspend or terminate an account that breaches these Terms, including confirmed trial abuse, non-payment, or unlawful use, with notice where practicable, and immediately where necessary to protect the platform or other businesses.
What's the liability limit?§12
Provided "as is"; our liability is capped at what you paid us in the last 12 months.
PhyledPOS is provided "as is." To the fullest extent permitted by Ghanaian law, Phyled Solutions is not liable for indirect, incidental, or consequential losses arising from your use of the service, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that can't lawfully be limited.
What law applies?§13
Ghanaian law, Ghanaian courts.
These Terms are governed by the laws of the Republic of Ghana. Any dispute that can't be resolved informally will be subject to the jurisdiction of the courts of Ghana.
Can these Terms change?§14
Yes, and we'll email you before a material change takes effect.
We may update these Terms from time to time. We'll update the date at the top of this page, and for material changes, email the account owner on file before they take effect.
